Todd Anders, Partner, Guidant Capital
Todd Anders, cofounder
of Guidant Capital, brings significant experience in international
strategies, transaction structuring and negotiation. Mr. Anders
was formerly a founding partner in SBC International, a middle
market investment banking and capital consulting group. Prior
to SBC, Mr. Anders was the Executive Director of International
Investment Strategies for Carlson Restaurants Worldwide. He led
the international mergers and acquisitions group for the company
during a time that saw the company's international presence grow
to over 50 countries. Prior to that, Mr. Anders practiced law,
focusing on mergers and acquisitions and general business representation.
Mr. Anders has also served as adjunct professor of Business Law
at Southern Methodist University. He received his B.S. in Business
and B.A. in Economics from Centenary College of Louisiana, his
J.D. from Baylor University Law School, and his M.B.A. and L.L.M.
from Southern Methodist University.
Todd will speak for 15 minutes, followed by table discussions
in groups of 6 - 7 people. A seasoned area executive will lead
the roundtable discussions at each table.

I've built up my company-- now what do I do? The answer is quite

pitfalls are many. Often exacerbated by wishful thinking, and
inexperience, these mistakes almost always stem from the principal's
inability to view the selling process objectively. Here are some
of the common misperceptions that entrepreneurs can have:
- "My company is very clean: I don't need to worry about
due diligence."
- "Once I sell, my worries are over."
- "I'm better off going with the first offer. If I shop
the deal, word will get out."
- "The contract process is just for lawyers."
- "There's no other buyer that is good for my company."
- "An earn-out is the only way to bridge the gap between
the seller and buyer."
- "I'm getting an employment contract, they must want me."
- "No one will notice this problem."
